said Central Railroad, stock, property, &c., for the term of time before mentioned; pay the entire expense of running the same, make all repairs of the road, locomotives, cars, &c., be bound under the same bonds and restrictions as set forth in the first proposition, and will pay to the state one half of the entire receipts for freight and passage, making the division monthly, weekly or daily, as may be agreed by the parties; provided the ex-officio members of the Board of Internal Improvement, in conjunction with the undersigned, shall appoint three collectors, whose salaries shall be paid by the state, and whose duties it shall be to collect all monies for freight and passage on said road, and pay one half of the same to the State Treasurer, For to any other person authorized by the state to receive it, and the other half to the undersigned or his legally constituted agents.

The undersigned would also further propose to lease said Central Railroad for the term of twenty years or less, at the option of the state, at the said annual rent of one hundred and forty-four thousand dollars, payable in monthly instalments of twelve thousand dollars each, in advance, and in all other respects in accordance with the conditions, restrictions and stipulations as embraced in the first proposition herewith submitted.

To the Honorable, the Senate and House

of Representatives of the State of Michigan: The memorial of the undersigned respectfully represents that, by the Report of Jonas H. Titus, Agent of the State Prison, it appears that the total expenditures in cash, made by the agent on account of the penitentiary, for the year ending 31st. October, 1845, was

Expended in cash on account of the penitentiary for the last year. Your memorialist represents that by the same report it further appears that the expenditures on the building account were, for the same period, $5,691 86.

In view thereof, the undersigned proposes to lease of the State the entire penitentiary and adjacent grounds belonging to the State, and the labor of the convicts therein, and of those that may be sent there, together with the fixtures and property pertaining thereto, now in use and belonging to the State, for the term of ten years from and after the first of May next, subject to existing contracts outstanding,

And, as a consideration therefor, will covenant to sustain the convicts now there,and that may be sent there, as they are now sustained, pay the expenses of maintaining the discipline of the penitentiary, and expend in permanent improvements annually, whatever may be necessary for the well being of the penitentiary: Provided, In no year the amount so to be expended shall exceed the sum of $5,691 86-the necessary expenditures on that account to be fixed by three disinterested persons, one to be selected by the State, and one by the undersigned, and the third by the two so selected, and at the end of ten years restore the property received from the state, or its equivalent in money, together with the improvements to be made: Provided, the state will annually advance from the state treasury, the sum of $5,000 00, in monthly instalments.

And for the faithful performance of all of the covenants on his part, the undersigned will execute to such officer as may be designated, a bond with security to be approved by him, in the penal sum of $20,000.
